These Terms of Service ("Terms") govern your access to and use of theprocurer.org (the "Site") and the procurement, sourcing, and related consulting services (the "Services") provided by The Procurer, located at 1753 Poinsettia Dr, Fort Lauderdale, FL 33305 ("The Procurer," "we," "us," or "our"). By accessing the Site or engaging our Services, you agree to be bound by these Terms.

1. Overview of services

The Procurer provides managed procurement services, including strategic sourcing, contract negotiation, supplier management, spend analysis, procurement technology setup, and compliance review, as described on the Site and in an applicable order form, statement of work, or service agreement ("Order"). The specific scope, deliverables, fees, and timeline for any engagement are set out in the applicable Order, which is incorporated into these Terms by reference.

2. Eligibility and accounts

The Site and Services are intended for business use by individuals who are at least 18 years old and have the authority to bind their organization to these Terms. Information you provide to us must be accurate and kept up to date.

3. Fees and payment

• Monthly plan fees are billed in advance on a recurring basis, starting on the date your engagement begins, unless otherwise agreed in writing.
• Project-based fees are billed as set out in the applicable Order, typically upon commencement and/or completion of the project.
• Fees are exclusive of applicable taxes unless stated otherwise.
• Late payments may be subject to a late fee and suspension of Services until payment is received.
• Except as described in our Refund Policy, fees are non-refundable.

4. Client responsibilities

To perform the Services effectively, we rely on clients to provide timely and accurate information, including spend data, existing contracts, vendor details, and internal approvals. Delays or inaccuracies in the information you provide may affect our ability to meet proposed timelines or savings estimates.

5. No guarantee of results

While we work to identify competitive pricing and terms, procurement outcomes depend on market conditions, supplier availability, and factors outside our control. Any savings estimates, benchmarks, or projections we provide are good-faith estimates only and are not guarantees of specific results.

6. Independent contractor; no agency unless stated

The Procurer acts as an independent contractor. Unless expressly stated in an Order, we do not have authority to bind your organization to a contract with a third-party supplier; final approval and execution of vendor agreements remain your responsibility, and contracts are entered into in your organization's name.

7. Confidentiality

Each party agrees to protect the other's confidential information disclosed during the engagement using at least the same degree of care it uses to protect its own confidential information of similar importance, and not to disclose it to third parties except as necessary to perform the Services or as required by law.

8. Intellectual property

The Site's content, design, and materials are owned by The Procurer or its licensors and may not be copied, reproduced, or distributed without permission. Deliverables prepared specifically for a client as part of a paid engagement (such as sourcing reports and negotiated contract terms) belong to the client upon full payment, except for The Procurer's underlying methodologies, templates, and tools, which we retain.

9. Term and termination

Monthly plans continue until terminated by either party with 30 days' written notice, unless a different notice period is specified in an Order. We may suspend or terminate Services immediately for non-payment or a material breach of these Terms. Termination does not relieve either party of obligations incurred prior to termination.

10. Disclaimer of warranties

THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, EXCEPT AS EXPRESSLY SET OUT IN AN APPLICABLE ORDER.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PROCURER WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, OR DATA, ARISING FROM YOUR USE OF THE SITE OR SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE FEES PAID BY YOU TO THE PROCURER FOR THE SERVICES GIVING RISE TO THE CLAIM IN THE THREE MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold The Procurer harmless from any third-party claims, losses, or damages arising from your breach of these Terms, your misuse of the Services, or inaccurate information you provide to us.

13. Governing law

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. Any dispute arising under these Terms will be subject to the exclusive jurisdiction of the state and federal courts located in Broward County, Florida.

14. Changes to these terms

We may update these Terms from time to time. The "Last updated" date reflects the most recent revision. Continued use of the Site or Services after changes take effect constitutes acceptance of the revised Terms.
